1. Software License & Usage
WooPOS Africa offers its software under a license model, not a sale. We grant you a non-exclusive, revocable license to use the software for your business operations.
- Right to Adjust: WooPOS Africa reserves the right to modify or readjust license terms, feature sets, and hardware requirements at any time.
- Limitation of Use: We reserve the right to limit your use of the software, including restricting the number of concurrent users, devices, or transactions, based on your current subscription tier.
2. Billing, Pricing & Service Suspension
- Billing Adjustments: WooPOS Africa reserves the right to change subscription fees, pricing structures, and readjust billing cycles at its sole discretion.
- Disconnection: We reserve the right to disconnect, limit, or terminate your access to the software without prior notice for non-payment, breach of license terms, or security concerns.
3. Disclaimer of Warranties (Merchantability)
To the maximum extent permitted by applicable law, the software and services are provided “AS IS” and “AS AVAILABLE.”
- No Implied Warranties: WooPOS Africa hereby disclaims all warranties and conditions, whether express, implied, or statutory, including, but not limited to, any implied warranties, duties, or conditions of MERCHANTABILITY, of fitness for a particular purpose, of reliability or availability, of accuracy or completeness of responses, and of lack of negligence.
- No Guarantee of Results: We do not warrant that the functions contained in the software will meet your requirements or that the operation of the software will be uninterrupted or error-free.
4. Limitation of Liability & Waiver
By using the software, you agree to the following waiver of liability:
- No Indirect Damages: In no event shall WooPOS Africa be liable for any special, incidental, punitive, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, or failure to meet any duty) arising out of or in any way related to the use of or inability to use the software.
- Liability Cap: Notwithstanding any damages that you might incur for any reason whatsoever, the entire liability of WooPOS Africa under any provision of these Terms and your exclusive remedy for all of the foregoing shall be limited to the actual amount paid by you to WooPOS Africa for the specific service or subscription month giving rise to the claim.
5. Data Privacy & Site Interaction
- Comments & Cookies: We collect data from comments for spam detection. Login cookies last for two days (two weeks with “Remember Me”) and screen choice cookies last for one year.
- Data Rights: You may request a file of the personal data we hold about you or request its erasure, except for data we are legally required to keep.
6. Media & Third-Party Content
- Image Uploads: Users are responsible for removing EXIF GPS data from uploaded images. WooPOS Africa is not liable for any location data extracted by third parties from your uploads.
- Embedded Content: Third-party embedded content (videos, etc.) may track your interaction as if you visited their site directly.
7. Fixed Billing Cycles
All subscriptions are billed on a recurring basis according to the initial schedule established at purchase. The scheduled renewal date remains fixed; if a payment is delayed, the subsequent renewal date will not be postponed, and the next billing period will begin on the originally scheduled date regardless of when the prior balance was settled.
8. Access Suspension and Data Deletion
Access to the software is strictly contingent upon successful payment. If a payment fails, your account will be suspended immediately. During the period of suspension, we are under no obligation to maintain or host your account data. We reserve the right to permanently and irretrievably delete all data associated with an account if a subscription remains unpaid for more than seven (7) calendar days. We shall have no liability for any loss of data, loss of business, or damages resulting from account suspension or termination due to non-payment.
